Andreas Ziegenhagen is the Managing Partner of Salans LLP in Germany and European Head of the Restructuring, Reorganisation & Insolvency Practice Group. He covers the areas of mergers & acquisitions (legal and tax advice), corporate recovery and insolvency law, corporate and tax law, banking and accounting law. Andreas acts regularly as double-sided trustee in distressed situations and as collateral agent for banks. He is one of the few German lawyers who is both a qualified accountant and a tax consultant. Andreas is a frequently recommended lawyer in the restructuring and insolvency practice.

In the JUVE German Commercial Law Firms Handbook 2011/2012 Andreas is mentioned as one of the "Frequently recommended lawyers for corporate, M&A, restructuring and tax." JUVE recommends him in the category of restructuring as “one of the central trustees and pool administrators in major German insolvencies.”  The Chambers Europe and Global Guide Editorials 2011 describe him as "highly regarded for his dynamic and commercially sound approach". According to clients, he is “focused and business-oriented." Legal 500 EMEA 2010 describes Andreas as “very versatile" and a person who “instills confidence".

Before joining Salans in 2006, Andreas spent his entire career at Haarmann Hemmelrath, where he became a partner in 2001 and Head of the Practice Group Corporate Recovery and Insolvency in 2004.

Andreas is author of several articles and books on corporate, tax and insolvency law as well as on the topic of M&A, including acquisition and taxation in distressed situations. He is also known as a speaker at many seminars and conferences.

Recent Experience:

  • Advising a German Bank syndicate as the collateral pool manager in connection with the insolvency of automotive supplier AKT Gardelegen
  • Serving the function of double-sided trustee, assisting both the bank creditors and debtors in the negotiations with investors in the interests of the banks financing the companies and the companies on new financing structures. We were also instructed to launch bidding procedures which ensured the restructuring of the operational business of the companies
  • Advising the Royal Bank of Scotland as the secured creditor in connection with the realisation of the development project of the former Federal Audit Office in Frankfurt
  • Advising the Chief Restructuring Officers of the Primacom Group on the restructuring
  • Advising Capmark Finance Inc. as the secured creditor in connection with the sale of nursing homes of German subsidiaries of Sunrise Senior Living, Inc., an US-American operator of residential and nursing homes
  • Advising the investor Gordon Brothers on the intended acquisition of the insolvent retail chain Woolworth
  • Advising the servicer of loans (above Euro 250 million) which has been granted to a large German property investment group. This group filed for insolvency. The group of lenders includes one of the leading banks in Europe
  • Advising on the settlement of claims (above Euro 110 million) arising from a Berlin real estate development project, involving the financing Bank, the project development company and the Federal State of Berlin
  • Advising Deutsche Bahn AG on the distressed acquisition of the insolvent Waggonbau Niesky GmbH in connection with insolvency plan proceedings
  • Advising a German Bank syndicate as creditors in connection with the insolvency of the PIN Group GA, regarding the main and the secondary insolvency proceedings
  • Advising the real estate and mortgage bank Allgemeine Hypotheken Bank Rheinboden AG ("AHBR", now Corealcredit Bank AG) during its restructuring which resulted in the acquisition by Lone Star. Thereafter advising on the relation with silent partners and bonus shareholders ("Genussrechte")
