Case Study:
A Share Issue in London for a Strategic Investment in China
The Background
China is currently one of the world’s largest suppliers to the market for active ingredients for diet supplements and health products. Cathay International Holdings Limited, a company listed on the Official List of the London Stock Exchange, wished to increase, via the Xian Haotian Group, its share of this market and to pave the way to expand its pharmaceutical arm into the international arena.
The Transaction
We acted for Cathay on the issue of the Class 1 Circular required for the acquisition of Xian Haotian’s pharmaceutical business.
The Result
Cathay subscribed USD 3.68 million in an equity fund-raising by Xian Haotian Bio-Engineering Technology Co. Ltd resulting in Cathay owning 51% of the enlarged issued share capital of the company. The proceeds of the fundraising were earmarked to commence two research projects and repay debts of Xian Haotian. The result was a win-win transaction for both Cathay and Xian Haotian negotiated in London by Salans.
