Ihor V. Mehedynyuk is a partner* in Salans' Kyiv office. He advises clients on various matters of Ukrainian securities law, land and real estate law, corporate law, M&A and transaction structuring, secured transactions, tax law and employment law, as well as on matters of Ukrainian law governing specific Ukrainian industries and sectors, including specifically the mining of mineral resources, telecommunications, TV and radio broadcasting, agriculture and industrial construction.

Recent Experience:

  • Advising an international firm as to Ukrainian TV and radio broadcasting, anti-competition, licensing and tax law matters relating to the acquisition of a Ukrainian TV broadcasting group, including legal due diligence of the Ukrainian target TV companies and structuring of the acquisition
  • Advising one of the largest financial groups on a series of transactions in Ukraine: establishment of an insurance company, pension fund, administrator, asset management company and advice on insurance and financial services regulations
  • Advising a large European fund on various Ukrainian law issues relating to its shareholdings in several Ukrainian companies that are 25% and 50% owned by the State of Ukraine
  • Representing one of the world's leading insurance groups in negotiations regarding the acquisition of several major Ukrainian insurance companies, including supervising the due diligence of the target companies, structuring the acquisition of the shares, and finalising the contractual documentation
  • Advising EBRD on several secured and unsecured multi-million dollar project financings in the banking and industrial sectors, involving mortgages and pledges of various assets
  • Advising a multinational company on the acquisition of a Ukrainian fixed telephone telecommunications provider
  • Advising a large international group on acquisitions and structuring of farming businesses in Ukraine
  • Advising a large international group on issues of Ukrainian law in the area of mineral resources
  • Advising on various aspects of the operation and acquisition of a cement business in Ukraine
  • Advising the sellers of a large Ukrainian bank in an over USD 250 million transaction on Ukrainian legal issues relating to the sale of shares and the sale of the bank
  • Assisting a large international fund and advising on the acquisition of a bank in Belarus and coordinating the work of legal counsel in several jurisdictions to accomplish such acquisition
  • Supervising a due diligence team in a number of M&A transactions in Ukraine involving the sale and purchase of several Ukrainian banks, large cement manufacturers and broadcasting companies
