Kamal Mammadzada is a partner in Salans' Baku office. He also has experience working out of the firm's Almaty office. He has extensive experience in corporate, privatisation, banking, and securities law.

Kamal's work has involved advising on company management and corporate governance, structuring of transactions, foreign investment, financing and other matters.

Recent Experience:

  • Advising a foreign-owned financial institution on a proposed loan for the construction of a five star hotel in Baku, Azerbaijan, including performance of the due diligence examination, drafting and review of project documentation
  • Advising a leading mining company with major operations in Kazakhstan on a USD 2.7 bln loan from the China Development Bank for the expansion of its production facilities in Kazakhstan
  • Advising one of the largest financial institutions in Europe in connection with the restructuring of JSC Alliance Bank in Kazakhstan
  • Advising a leading producer of chemical plant protection products on the recovery of debt of USD 2.5 mln from a purchaser in Kazakhstan, including advise under the laws of Kazakhstan on enforceability of a third party guarantee
  • Advising a Korean oil company on the acquisition of entire shareholding in a Kazakhstan based group of companies operating in the field of oil production, including performance of the due diligence examination, drafting and review of project documentation, advise on anti-monopoly and subsurface legislation
  • Advising a major international construction materials company on site acquisition and a project for the establishment of a Greenfield manufacturing plant in Azerbaijan
  • Assisting a leading developer from the Gulf on the development of a commercial/residential complex in Astana, Kazakhstan, including negotiations with various state bodies of Kazakhstan and advice on Kazakhstan legislation
  • Advising a multinational bank on derivatives transactions in Azerbaijan, including the issuance of an ISDA Master Agreement opinion
  • Advising a leading financial services provider on enforceability of ISDA Master Agreement and related collateral arrangements under the laws of Kazakhstan, including preparation of the legal opinions on enforceability of the ISDA MA and Security Documents in Kazakhstan
