  • Advising Black Sea Global Properties Limited on its successful takeover of Fabian Romania Limited, a Jersey company admitted to AIM and the Bermuda Stock Exchange which focuses on real estate in Romania. The offer, which was subject to the UK Takeover Code, followed an initial stake-building exercise and took the form of a mandatory recommended cash offer; The offer valued the target at approximately € 50.8 million.
  • Advising a US client seeking to raise investment to fund oil exploration and drilling projects on its approaches to UK resident investors, including reviewing its internal procedures and investment documentation to ensure compliance with the UK's financial promotion rules.
  • Advising on the sale of Lloyds TSB Asset Finance Division of The Dutton-Forshaw Group Limited ('DFG') to Lookers Motor Group Limited, a subsidiary of Lookers plc, for approximately £60 million; DFG is an auto dealership with sales and after-sales dealerships and authorised repairers and representing 14 motor manufacturers operating thorough 31 outlets over 50 properties throughout England and Wales.
  • Advising on the acquisition of a Russian container terminal (structured through an acquisition of a Cypriot holding company with the transaction documentation mainly governed by English law); the transaction value was almost US$ 300 million.
  • Advising on various other company acquisitions and sales (of both businesses and shares) and AIM related work
