Svetlana Barinova is Of Counsel in Salans' Moscow office.  She specialises in Russian corporate, antimonopoly and securities law. Svetlana has particular experience advising on the structure of investments in Russia, methods of financing, payment of dividends and distribution of profits, debt-to-equity transactions, shareholders’ rights, shareholders’ agreements, protection of minority shareholders’ rights, due diligence investigation and closing acquisitions of Russian enterprises.  Svetlana also advises on Russian antimonopoly regulation of mergers and acquisitions and various other projects related to general corporate and commercial matters.

Recent Experience:

• Conducting due diligence of a distribution company and advising on the acquisition by a foreign investor of a share thereof, with a call option for up to 100%
• Assisting with the divestment of a production business from a multi-industry company into a separate entity, debt-to-equity financing
• Advising on importation of manufacturing equipment as in-kind capital contribution with VAT and customs duties exemptions
• Advising on the expulsion of a participant from a Russian company
• Advising on Russian antimonopoly regulation of mergers and acquisitions and obtaining FAS consents for transactions
• Advising on the acquisition of Russian food processing companies by a major Western investor
