• Advising a leading international pharmaceutical group on applicable issues relating to its reorganisation at a worldwide level, including special advice on minority shareholders' rights;
• Representing a major US medical devices manufacturer in negotiations / renegotiations of licensing contracts;
• Representing a US-based pharmaceutical group before the French competition authorities following an abuse of dominant position claim filed by a generic manufacturer. In this procedure, the team obtained the full cancellation of the dawn raid conducted at the client's premises;
• Advising a leading international pharmaceutical group on the sale of several production sites located in France to another pharmaceutical group, within the framework of the global sale of a worldwide division;
• Representing a leading Polish pharmaceuticals manufacturer in the sale of one of its manufacturing plants to a major European pharmaceutical conglomerate (asset-based transaction), including structuring the transaction, drafting of the documentation for the asset acquisition and related negotiations;
• Assisting two leading US pharmaceutical companies (a pharmaceutical agents manufacturer and a medical devices manufacturer) in establishing their activities in Poland;
• Assisting as a main counsel in the greatest product quality crisis in Polish history; Salans provided comprehensive services in penal proceedings in over 300 cases, and we handled claims for damages filed by numerous patients and advised in the management of relations with distributors. Consequently no criminal charges were brought against the clients’ representatives;
• Comprehensive legal assistance at the direct request of the foreign head office of an international corporation for the purposes of mitigating a crisis situation caused by non-compliant aspects of marketing activities aimed at physicians and pharmacists;
• Assisting a major US pharmaceuticals producer in structuring its sales system for the EU market;
• Assisting drug manufacturers in disputes with regulatory authorities over GMP compliance, including challenging administrative decisions to restrict manufacturing operations;
• Litigation involving patent and data exclusivity issues related to planned market launch of drugs;
• Advising a major investment fund in connection with the acquisition of a majority stake in a leading Romanian healthcare services company; and,
• Assisting a leading German distributor and retailer of pharmaceutical products in connection with its multi-million-euro acquisition of a 31.4% stake in a Slovenian pharmaceutical wholesaler and its Romanian affiliate.
