Case Study: Litigation in Support of a Telecommunications Group’s Development
The Background
Our client, a provider of telephone licenses with a share in a strategic joint venture, found itself losing effective control over the joint venture due to changes in the joint venture’s shareholders and its weak position under the shareholders agreement. The joint venture was ultimately controlled by a shareholder with interests differing from those of our client. This put our client in a delicate situation vis-à-vis its customers since it needed to perform certain important contracts via the joint venture. To make matters worse, our client was in the process of selling its undertaking to an investment fund. This sale was critical for the client’s group but was threatened by the possibility that the joint venture would not provide the services under the contracts.
The Transaction
Faced with this challenge, Salans initiated several court proceedings based on the facts of the case, the urgency of the situation, and the need for information. These proceedings were brought before administrative, commercial and civil courts. The proceedings divided the shareholders and paralysed the joint venture.
The Result
After a year the controlling shareholder was obliged to negotiate an amicable solution which would permit our client to achieve its strategic objective. This shared success of Salans and its client was due to Salans’ ability to combine its litigation and transactional skills.
